Feedcoyote Terms of Service
Effective Date: April 1st, 2022
These Terms of Service (“Terms”) govern your access to and use of Feedcoyote’s website, mobile applications, APIs, and other services (collectively, the “Platform”). By registering for or using the Platform (in any form), you agree to these Terms (as updated from time to time). If you do not agree, you may not use the Platform.
1. Definitions
- “Feedcoyote,” “we,” “us,” or “our” means Feedcoyote, Inc., its subsidiaries and affiliates.
- “User,” “you,” or “your” means any person or entity using the Platform.
- “Services” means all functionality, tools, networking features, communication features, subscription plans, account features, and other offerings made available via the Platform.
- “Transactions” means any business, freelance collaboration, monetary or barter arrangements initiated or facilitated via the Platform between Users (e.g. payments, contracts, service engagements).
- “Content” means all text, images, videos, files, messages, data, uploads, and other materials provided or made available via the Platform.
- “Dispute” means any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform.
2. Eligibility; Account Registration
- You must be at least 18 years old (or of legal age in your jurisdiction) to use the Platform.
- You must provide accurate, complete, and up-to-date registration information. You are responsible for maintaining the security of your account credentials, and for any activity under your account.
- You agree not to share your password or account with others, nor to allow unauthorized use. We may suspend or terminate accounts for suspected unauthorized use, fraudulent behavior, or breach of these Terms.
- You agree to promptly notify us of any actual or suspected unauthorized use of your account.
3. Scope of Service; Modifications; Suspension
- We grant you a limited, revocable, non-exclusive license to access and use the Platform in accordance with these Terms.
- We reserve the right (at our sole discretion) to modify, restrict, suspend, or discontinue all or part of the Platform at any time, temporarily or permanently, with or without notice.
- We may impose usage limits or quotas, including limits on communications, storage, features, or API calls.
- We may refuse service, disable accounts, or delete content if (in our judgment) a User is engaging in abuse, fraud, or conduct harmful to the Platform or other Users.
4. User Conduct & Prohibited Activities
You agree not to use the Platform to:
- engage in any unlawful, fraudulent, or deceptive purpose (including scams, pyramid or Ponzi schemes, phony investment offers, or fake job opportunities);
- misrepresent your identity, qualifications, affiliations, or intentions;
- solicit or facilitate payments or financial arrangements outside of our approved systems if doing so would circumvent or violate these Terms;
- bypass or interfere with any transaction or payment mechanism we provide;
- impersonate other parties or copy their profiles;
- bully, harass, defame, threaten, or violate the rights of other Users;
- upload or transmit viruses, malware, or any harmful code;
- reverse-engineer, decompile, or otherwise attempt to derive source code from our software;
- scrape, crawl, or systematically download content;
- solicit other users for contests, chain letters, or pyramid schemes;
- collect or harvest personal information of other users without consent;
- post content you do not own or lack rights to;
- interfere with the operation or integrity of the Platform;
- encourage or facilitate violation of these Terms or any applicable law.
We may monitor or review activity but are not obligated to. We reserve the right to remove or reject content, restrict use, or terminate accounts at our discretion.
5. Transactions, Payments & Disputes
- Authorized Payment Methods. All Transactions must be conducted through payment mechanisms authorized or provided by Feedcoyote (or its designated third-party payment processors). You may not require or encourage Users to pay outside our system in a way that evades fees or dispute resolution processes.
- Fees & Charges. We may charge subscription or usage fees, transaction fees, or service charges as described in your plan or in associated documentation. You authorize us to charge your chosen payment method.
- Recurring Billing & Renewals. If your subscription plan is recurring, you authorize automatic renewal and continuous billing unless and until you cancel in accordance with these Terms.
- Refunds & Chargebacks.
- Refunds are generally not permitted except at our discretion; you must request via official support channels.
- You agree to cooperate in any investigation in connection with a refund or chargeback.
- If you initiate a chargeback or dispute without first attempting resolution through us, we may suspend or terminate your account and recover costs, including legal fees.
- You agree to indemnify us for any losses suffered due to your unauthorized or improper chargeback or reversal.
- Holding Funds / Escrow. Where applicable, we may hold, escrow, or delay release of funds from Transactions until confirmation of satisfactory completion, or to mitigate risk of fraud or dispute.
- Transaction Limits / Verification. We may impose limits on transaction amounts, require identity verification, or additional documentation for high-risk or large transactions.
- No Guarantee. We do not guarantee successful completion of any deal, service, or payment between Users. We are not party to individual agreements or obligations between Users.
6. Content & Submissions; Rights & Licenses
- You retain ownership of Content you submit but grant Feedcoyote (and necessary sublicensees) a worldwide, royalty-free, transferable, sublicensable license to use, reproduce, display, modify, distribute, translate, publish, and otherwise exploit your Content in connection with operating the Platform, marketing, and future development.
- You warrant you have all necessary rights and permissions to provide the Content (including third-party rights).
- We may moderate, remove, or reject any Content that violates these Terms or is otherwise objectionable.
- We may preserve or disclose Content if required by law or for security and enforcement purposes.
- You grant other Users of the Platform permission (subject to platform rules) to view, contact, or interact with the Content consistent with platform functionality.
7. Intellectual Property & Restrictions
- All intellectual property rights in the Platform, underlying software, designs, logos, trademarks, trade secrets, and content (excluding User-submitted Content) remain with Feedcoyote or its licensors.
- You may not copy, adapt, distribute, sell, rent, sublicense, decompile, reverse-engineer, or otherwise derive unauthorized works from the Platform.
- Any permitted use must preserve proprietary notices and not remove or modify attributions or warnings.
8. Indemnification
You agree to defend, indemnify, and hold harmless Feedcoyote, its officers, directors, employees, agents, affiliates, and licensors (the “Indemnified Parties”) from and against all claims, liabilities, losses, damages, judgments, awards, penalties, costs, or expenses (including reasonable attorney’s fees) arising out of or relating to:
- your use of the Platform or violation of these Terms;
- any Content you submit or share;
- your violation of any third-party rights (including intellectual property or privacy rights);
- any Transaction you enter into or actions you conduct via the Platform;
- your misconduct, negligence, fraud, or breach.
We have the right, at our election, to control any defense or settlement, and you must cooperate fully.
9. Disclaimers; Limitation of Liability
- Disclaimer. The Platform and Services are provided “as is” and “as available,” without warranty of any kind, whether express, implied, statutory, or otherwise (including warranties of merchantability, fitness for a particular purpose, accuracy, noninfringement, reliability, or availability).
- To the maximum extent permitted by law, Feedcoyote disclaims all warranties that the Platform will be uninterrupted, secure, error-free, or free from harmful components.
- Limitation of Liability. To the fullest extent allowed by applicable law, Feedcoyote (and its Indemnified Parties) shall not be liable for any indirect, incidental, consequential, special, punitive, exemplary, or increased damages, or loss of profits, data, business or goodwill, even if advised of potential liability.
- Cap on Liability. In jurisdictions that permit, our total aggregate liability under these Terms shall not exceed the amount you have paid Feedcoyote in the 12 months preceding the claim.
- Some jurisdictions do not allow the exclusion or limitation of certain damages; in such cases, those limitations may not apply to you.
10. Dispute Resolution; Arbitration; Class Action Waiver
- Informal Resolution. Before initiating formal Dispute proceedings, you and Feedcoyote shall attempt in good faith to resolve the matter informally.
- Arbitration. Except for small claims court claims and matters involving intellectual property, all Disputes shall be resolved by final, binding arbitration under the Federal Arbitration Act (or applicable equivalent), by a single arbitrator. Arbitration shall be administered by a reputable arbitration service in a mutually agreed location (or via remote arbitration).
- The arbitrator has authority to award any remedy that a court could, including injunctive relief, subject to these Terms.
- Class Action Waiver. You and Feedcoyote waive any right to participate in class, collective, or representative actions or class-wide arbitration.
- Fees & Expenses. The prevailing party shall recover its costs and reasonable attorneys’ fees, unless the arbitrator determines otherwise under applicable law.
- This arbitration provision survives termination of your account or these Terms.
11. Termination & Suspension
- We may terminate or suspend your access or account, in whole or in part, immediately and without notice for breach of these Terms, suspected fraud, nonpayment, or other harmful conduct.
- Upon termination, you lose access to the Platform and may no longer use any part of it.
- Termination does not relieve you of obligations incurred prior to termination (e.g., payments, indemnification, confidentiality).
- Sections that by their nature should survive (e.g. intellectual property, indemnification, limitations, dispute resolution) shall continue after termination.
12. Privacy & Data
Your use of the Platform is also governed by Feedcoyote’s Privacy Policy, which addresses how we collect, use, and share your personal data. If there is a conflict between these Terms and the Privacy Policy, these Terms shall govern your rights and obligations to the extent of the conflict.
13. Notices
- We may send notices via email, through the Platform, or by postal mail (if address provided).
- You may give notice to us by email or via designated support channels.
- Notices are effective when delivered (or in the case of email, when sent, unless bounced).
14. Severability; Waiver; Entire Agreement
- If any provision is deemed invalid or unenforceable, that provision shall be modified or severed to the minimal extent necessary, and remaining provisions shall remain in full force.
- No waiver by us of any breach or right under these Terms shall be effective unless in writing, and no waiver is a waiver of future breaches.
- These Terms, together with any policies, schedules, or supplementary documentation (e.g., Privacy Policy, Payment Policy), constitute the entire agreement between you and Feedcoyote regarding the Platform.
15. Changes to Terms
We may revise or update these Terms from time to time. If the changes are material, we will provide notice (e.g. via email or in-Platform). Your continued use of the Platform after such changes constitutes your acceptance of the updated Terms. You should thus review the Terms periodically.
